The Bulgarian engineering provider is engaged by us under a separate subcontracting agreement. Project scope, deliverables, acceptance criteria, timelines, commercial terms, confidentiality/IP, and liability are defined in a clear Statement of Work and contract package. Our model is structured as B2B project/service delivery (not employee leasing). Under German law, employee leasing can be triggered if personnel are integrated into the client’s organization and work under the client’s instructions; therefore, operational control and personnel management remain with the subcontractor, and the client contracts for deliverables/results. The legal classification depends on the actual implementation in practice, not only on contract labels. For VAT, services supplied by the Bulgarian subcontractor to our German company are generally treated under the B2B place-of-supply rule (place of supply at the customer’s seat), with VAT typically accounted for in Germany by the recipient under reverse charge. In practice, invoices are issued with the required reverse-charge wording and VAT IDs where applicable. Our invoice to the German client is generally issued under German VAT rules (unless a specific statutory exception applies).
